These Terms, together with the Privacy Policy, voucher-specific terms, other notified policies, and website disclaimers, form the agreement between IOLIV Tech Solutions Private Limited (CIN U62012WB2023PTC261219) and each registered user of Sciborg services.

These Terms govern access to the website, mobile application, and related educational services. If you do not agree, discontinue use immediately.

1. Acceptance of Terms

By accessing or using the Platform, you confirm that you are at least 13 years old, or the age of digital consent in your region, and legally able to enter a binding agreement. An organization user represents that they have authority to bind that organization. Do not register or use Services if you do not understand and accept these Terms. Violations may create legal liability, and no provision grants rights to a third party.

2. User Accounts

  • Provide accurate and complete information.
  • Keep login credentials confidential.
  • Notify us immediately of unauthorized access.
  • Accounts that violate these Terms may be suspended or terminated.

3. Educational Content

  • Content is provided for educational purposes.
  • We may update, modify, or remove content.
  • We do not guarantee that content will meet every personal learning goal.

4. License to Use the Platform

We grant a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial educational use.

  • Do not copy, distribute, or modify Content.
  • Do not use Content commercially without permission.
  • Do not reverse-engineer or extract source code.
  • Do not use the Platform unlawfully or harmfully.

5. Payments and Subscriptions

By purchasing, you authorize charges to your selected payment method.

  • Fees are shown before checkout.
  • Subscriptions renew automatically unless canceled.
  • Refunds are available only where required by law or the Refund Policy.

5.1. Subscription Plan – Learning Credits Issuance and Validity

Learning Credits Issuance:Under the applicable Subscription Plan, the Subscriber shall receive a predetermined allocation of learning credits on a monthly basis. Such credits will be issued at the commencement of each billing cycle.

5.2. Monthly Reset Cycle

Learning credits granted as part of the Subscription Plan shall reset on the Subscriber’s designated billing date. These monthly credits do not roll over to subsequent billing cycles, and any unused credits shall automatically expire at the end of the relevant cycle.

5.3. Top‑Up Credits

Credits acquired through Top‑Up Purchases are exempt from the monthly reset policy. Top‑up credits may be carried forward across billing cycles and shall remain valid for a period of twelve (12) months from the date of purchase, unless otherwise specified.

6. User-Generated Content

By submitting comments, assignments, messages, or other materials, you grant us a worldwide, royalty-free license to store, display, and distribute that content as needed to operate and improve the Platform. You must not submit material that infringes rights or is harmful, illegal, or abusive. We may remove violating content.

7. Intellectual Property

IOLIV respects intellectual-property rights and expects users to do the same. Website content, products, vouchers, packages, software, techniques, processes, names, and trademarks belong to the Company or its licensors and are protected by applicable law. Use of the Platform grants no implied ownership rights. Sciborg and IOLIV marks may not be used without written permission.

8. Third-Party Services

Links or integrations may lead to third-party services. We are not responsible for their content, privacy practices, or damages arising from their use. Your interaction is solely with that third party.

9. Privacy

Use of the Platform is also governed by the Privacy Policy, which explains how information is collected, used, and protected.

10. Prohibited Activities

  • Fraudulent or illegal use.
  • Uploading malware or harmful code.
  • Attempting unauthorized system access.
  • Harassing or harming other users.

11. Disclaimers

The Platform and Content are provided “as is.” We do not guarantee uninterrupted or error-free operation, complete accuracy, suitability, or specific learning results.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, loss of data, revenue, or profits, or issues arising from use or inability to use the Platform. Your sole remedy is to stop using it.

13. Indemnification

You agree to indemnify and hold harmless IOLIV, its clients, suppliers, affiliates, employees, officers, directors, agents, servants, shareholders, and representatives from liability, loss, claims, suits, damages, and reasonable legal expenses related to your use, violation of these Terms, or infringement of another party’s rights.

14. Termination

We may suspend or terminate access, with or without notice, for violations or other reasons deemed necessary. Your right to use the Platform then ceases immediately.

15. Changes to Terms

We may update these Terms. Continued use after changes are posted constitutes acceptance.

16. Governing Law and Dispute Resolution

Disputes relating to this Agreement or Services will be determined by arbitration in India before a single arbitrator appointed by the Company under the Arbitration and Conciliation Act, 1996. The venue is West Bengal and proceedings are in English. The award is final and binding. Parties may seek interim injunctive relief from a competent court while arbitration is pending.
